Article (1): Scope of Work
The First Party (ByNouna Studio) shall execute the design services as per the service request form approved by the Second Party (the Client). The services include (Brand Identity – Events – Social Media – Packaging – and other agreed services).
Article (2): Project Duration
The project execution period is 15 working days, starting from the date of receiving all required data and information and after full payment has been made.
Any delay by the Client in providing the necessary materials will result in postponing the start date by the same duration.
Article (3): Obligations of the First Party (ByNouna Studio)
- The First Party is committed to delivering the project within the specified 15 working days, according to the agreed schedule.
- In case of delays due to force majeure or technical issues, the Client shall be informed immediately with the new expected timeline.
- The Client has the right to review the project’s progress upon request, provided it does not interfere with the workflow.
Article (4): Obligations of the Second Party (the Client)
- The Client shall provide all required data and content before the project begins.
- The Client must approve the initial drafts within two (2) working days from the date of submission.
- Major changes after approval shall require a new financial agreement.
Article (5): Permitted Revisions
- The Client is entitled to three (3) revisions after receiving the first draft.
- Revisions include only minor edits such as text, color, or partial arrangement adjustments.
- Any additional revision beyond the three allowed will be charged separately.
- The Client may not require the designer to execute additional work without payment.
- Fundamental modifications or a complete redesign are considered a new independent project.
Article (6): Payment Terms
- Full payment must be made before the project begins or as per a written agreement.
- All payments are non-refundable once work has started or any part of the project has been delivered.
Article (7): Delivery and Liability After Delivery
- Deliverables are provided in digital formats (PDF / PNG / AI, or as suitable for the project).
- After final delivery and approval, the First Party bears no responsibility for:
- Typographical or linguistic errors.
- Any modification or damage after delivery.
- File loss or improper use of files.
- The Client is advised to thoroughly review the work before final approval.
Article (8): Force Majeure
The First Party is not responsible for delays or cancellations caused by circumstances beyond control, such as natural disasters, technical failures, health crises, official decisions, or other emergencies.
The execution period will be extended proportionally to the downtime, without compensation or penalty.
Article (9): Usage and Publication Rights
- Upon full payment, the Client obtains the right to use the design for the intended project only.
- The First Party retains the right to display the work in its portfolio or marketing platforms unless otherwise agreed in writing.
Article (10): Termination and Dispute Resolution
This contract is governed by the laws of the Sultanate of Oman.
In the event of a dispute, both parties shall first attempt an amicable settlement. If unresolved, the matter shall be referred to the competent judicial authorities.
